1. PART 1: GENERAL PROVISIONS

    1. ACCEPTANCE OF TERMS

    Welcome to My LiftLink, a digital platform (the “Platform“) operated by LiftLink Ltd (hereinafter “LiftLink“, “we“, “our“, or “us“), a corporation incorporated in Ontario, Canada. The Platform is accessible via our website liftlink.ca and our mobile application (collectively, the “Service“).

    By using the Service, you agree to be bound by these terms of use (the “Terms“) and by our Privacy Policy, available at liftlink.ca/privacy-policy. If you do not agree to these Terms, please do not use the Service.

    We reserve the right to modify these Terms at any time. The most current version will always be available at liftlink.ca/terms-conditions. Your continued use of the Service after any such modifications constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms regularly.

    1. DEFINITIONS

    In these Terms, the following terms have the meanings set forth below:

    • “Driver” : Any registered user who offers a Ride on the Platform.
    • “User Content” : Any information, data, text, photo, review, or other material posted, uploaded, or transmitted by a User on the Platform.
    • “Trip” : The provision of transportation of a Passenger by a Driver, booked via the Platform.
    • “Service Fee” : The fee charged by LiftLink to the Passenger for the use of the Platform and the matching service.
    • “Trip Fee” : The total amount paid by the Passenger for a Trip, including the ride price and the Service Fee.
    • “Passenger” : Any registered user who books a seat in a vehicle for a Ride via the Platform.
    • “Platform” : The website liftlink.ca, the My LiftLink mobile application, and all associated services, features, and content.
    • “Ride” : The listing published by a Driver on the Platform, describing a carpooling itinerary, date, time, number of available seats, and price per passenger.
    1. HOW MY LIFTLINK WORKS

    3.1. Role of the Platform
    My LiftLink is a digital marketplace that connects Drivers and Passengers for intercity carpooling trips in Canada and the United States.

    • LiftLink is not a carrier. We do not provide transportation services and are not responsible for the acts or omissions of Drivers or Passengers.
    • Our role is limited to matchmaking. We facilitate booking and payment, but we do not control and do not guarantee the quality, safety, punctuality, or legality of the Rides offered.
    • We are not an insurer. LiftLink does not provide automobile insurance. Drivers are required to hold valid insurance in accordance with applicable laws.

    3.2. Artificial Intelligence (Warren)
    My LiftLink uses artificial intelligence algorithms (named “Warren“) to, among other things:

    • Provide automated responses to certain User questions.
    • Optimize the matching between Drivers and Passengers.
    • Help detect fraudulent or abnormal behavior.

    You acknowledge that:

    • Responses provided by Warren are automatically generated and may contain errors or inaccuracies.
    • They do not under any circumstances replace professional advice (legal, financial, medical, etc.).
    • LiftLink is not responsible for the consequences of undue reliance on information provided by Warren.

    3.3. Geolocation
    To use certain features of the Service, you must authorize My LiftLink to access your device’s location.

    • Collection of location data is necessary to post a Ride, search for nearby Rides, and enable Trip tracking.
    • We may collect your location in the background when the application is running to improve the Service.
    • You can disable location sharing at any time via your device settings, but this may limit your use of the Service.
    1. ACCOUNT CREATION AND OBLIGATIONS

    4.1. Registration
    To use the Platform, you must create an account and provide accurate, complete, and up-to-date information, including:

    • Your full name.
    • A valid email address.
    • A phone number.
    • A profile photo (for Drivers, a photo of yourself).

    4.2. Age

    • You must be at least 18 years old to create an account and use the Service as a Driver.
    • Passengers aged 14 to 17 may use the Service, but must be accompanied by an adult over 18 during the Trip.
    • Passengers under 14 must be accompanied by a parent or legal guardian during the Trip.

    4.3. Account Security
    You are fully responsible for the confidentiality of your password and all activities that occur under your account.

    • You must notify us immediately of any unauthorized use of your account.
    • LiftLink cannot be held liable for losses or damages arising from your failure to comply with this obligation.
    1. IDENTITY VERIFICATION

    5.1. Process
    To ensure the safety of all, LiftLink may, at its discretion, require identity verification. This process may include:

    • Providing an official photo ID (driver’s license, passport).
    • Taking a selfie to compare with the photo on the ID.
    • Providing additional information for Drivers (see Section 6).

    5.2. Consequences

    • If you do not undergo verification or if your information is deemed fraudulent, LiftLink reserves the right to suspend or terminate your account without notice.
    • You authorize LiftLink to use third-party identity verification services for the processing of this data.
    1. DRIVERS – SPECIFIC OBLIGATIONS

    Drivers have additional responsibilities. By posting a Ride, you certify and agree to the following:

    6.1. License and Insurance

    • You hold a valid driver’s license for the category of vehicle you are driving.
    • You hold valid automobile insurance that covers carpooling, in accordance with the laws of your province or state.

    6.2. Vehicle

    • The vehicle you offer is in good mechanical condition and complies with legal safety requirements (tires, brakes, seatbelts, etc.).
    • The vehicle is clean and has a number of seats consistent with the listing.
    • You will not use a vehicle that is not registered in your name without the express permission of the owner.

    6.3. Ride Listing

    • The information provided (date, time, departure and arrival location, price, number of seats) is accurate.
    • You cannot change the price of the Ride after booking by a Passenger, unless expressly agreed by that Passenger.

    6.4. Cancellation and Punctuality

    • You undertake to be punctual at the meeting point.
    • In the event of cancellation on your part, you must inform Passengers as soon as possible. Penalties may apply (see Section 10).
    • In the event of significant delay, you must notify Passengers.

    6.5. Safety and Conduct

    • You must comply with the highway code and drive carefully.
    • It is strictly forbidden to drive under the influence of alcohol, drugs, or any other substance that impairs ability.
    • You must require all Passengers to wear their seatbelts.
    • You must not transport dangerous, illegal goods, or weapons in the vehicle.
    • You must treat Passengers with respect and courtesy.

    6.6. Luggage and Animals

    • You must specify in your listing whether you accept bulky luggage and pets.
    • You may refuse luggage or an animal if it exceeds the vehicle’s capacity or if it was not agreed upon in advance.
    1. PASSENGERS – SPECIFIC OBLIGATIONS

    Passengers undertake to comply with the following rules:

    7.1. Punctuality and Cancellation

    • You must arrive on time at the agreed meeting point.
    • In the event of cancellation, you must notify the Driver as soon as possible. Cancellation fees may apply (see Section 10).

    7.2. Conduct and Safety

    • You must wear your seatbelt at all times.
    • You must respect the Driver, other Passengers, and the vehicle.
    • It is forbidden to smoke, consume alcohol, or drugs inside the vehicle.
    • You must follow the Driver’s instructions regarding luggage and animals.

    7.3. Responsibility

    • You are responsible for any damage you may cause to the Driver’s vehicle.
    • You must not carry more luggage than was agreed upon at the time of booking.

    PART 2: USAGE, PAYMENTS, AND LEGAL PROVISIONS

    1. BOOKING AND PAYMENT

    8.1. Booking Process

    • A Passenger may book a seat for a Ride via the Platform or by phone.
    • The booking is confirmed once payment of the Trip Fees is made by the Passenger and accepted by LiftLink.
    • The Driver undertakes to honor the confirmed booking, except in cases of force majeure (see Section 20).

    8.2. Payment Methods
    My LiftLink accepts the following payment methods:

    • Credit and debit cards (Visa, Mastercard, American Express).
    • Interac.
    • Platform e-wallet (if available).
    • Other electronic payment methods we may add in the future.

    You warrant that you are authorized to use the selected payment method.

    8.3. Fees and Prices

    • The price of a Ride is set by the Driver. LiftLink may suggest a price based on distance and other factors.
    • Service Fees are added to the Ride price and are clearly indicated before booking confirmation.
    • All prices are shown in Canadian dollars (CAD) for trips in Canada and US dollars (USD) for trips in the United States, unless otherwise indicated.

    8.4. Payment Processing

    • LiftLink acts as a payment agent for the Driver. The Trip Fees are collected by LiftLink on behalf of the Driver.
    • Payment to the Driver is made after the Trip is completed, less the Service Fees.
    • We may use third-party payment processors to manage transactions.
    1. CANCELLATIONS AND REFUNDS

    9.1. Cancellation by Passenger

    • Cancellation without fee : The Passenger may cancel their booking without fee up to 24 hours before the Ride’s departure time.
    • Late cancellation : If the Passenger cancels less than 24 hours before departure, the Trip Fees are fully due and will not be refunded.
    • No-Show : If the Passenger does not show up at the meeting point at the agreed time, the Trip Fees are fully due and will not be refunded.

    9.2. Cancellation by Driver

    • The Driver may cancel a Ride at any time. However, frequent or last-minute cancellations may result in penalties, including account suspension.
    • In the event of cancellation by the Driver, the Passenger is fully refunded the Trip Fees.

    9.3. Delay

    • If the Driver is more than 15 minutes late, the Passenger may cancel the Trip and receive a full refund.
    • If the Passenger is more than 15 minutes late, the Driver may cancel the Trip. The Passenger will not be refunded.

    9.4. Refund Procedure

    • Refunds are made to the Passenger’s original payment method.
    • Processing time may vary depending on the financial institution, but is generally 5 to 10 business days.
    • For any refund request, contact our customer service at contact@liftlink.ca.
    1. RATING AND REVIEW SYSTEM

    10.1. Principle
    After each Trip, Drivers and Passengers may rate each other. This system helps maintain a high level of trust and quality on the Platform.

    10.2. Rules

    • Ratings must be honest and based on the actual experience.
    • It is forbidden to post defamatory, insulting, or false reviews.
    • Reviews are public. You can view another User’s profile to see their ratings.

    10.3. Removal of Reviews

    • LiftLink reserves the right to remove any review that violates these Terms.
    • A User may report a review they believe to be abusive. LiftLink will review the report and make a decision at its discretion.

    10.4. Abuse

    • It is forbidden to use the rating system to harass, intimidate, or extort other Users.
    • Any proven abuse will result in the suspension or termination of the offending User’s account.
    1. PROHIBITED CONDUCT

    By using the Platform, you agree not to:

    11.1. Fraud and Impersonation

    • Create an account with false information or impersonate another person.
    • Use the Platform for fraudulent purposes or for any other illegal purpose.
    • Circumvent My LiftLink’s payment system (e.g., offering to pay in cash outside the Platform).

    11.2. Harassment and Discrimination

    • Harass, threaten, or discriminate against any other User on the basis of race, gender, religion, sexual orientation, age, disability, or any other protected characteristic.
    • Use inappropriate, offensive, or violent language or behavior.

    11.3. Security and Integrity

    • Post or transmit viruses, malware, or any other code intended to harm the Platform or other Users.
    • Attempt to gain unauthorized access to the accounts, systems, or data of LiftLink or other Users.
    • Interfere with the proper functioning of the Service.

    11.4. Illegal Content and Activities

    • Post illegal, obscene, defamatory, or content that infringes the intellectual property rights of others.
    • Propose or organize trips for illegal activities, including but not limited to trafficking in narcotics, weapons, or human beings.

    11.5. Commercial Solicitation

    • Use the Platform for unauthorized commercial solicitation or spam.
    • Collect or use User data (contact details, etc.) for commercial purposes without their explicit consent and without LiftLink’s authorization.
    1. SAFETY

    12.1. General Obligations

    • You must always wear your seatbelt.
    • You must not carry weapons, dangerous, flammable materials, or illegal substances.
    • It is forbidden to consume or be under the influence of alcohol or drugs during the Trip, whether you are a Driver or Passenger.

    12.2. Reporting

    • If you witness or are a victim of dangerous, illegal behavior, or behavior that violates these Terms, you must report it immediately to LiftLink and, if applicable, to the competent authorities.
    1. LOST ITEMS

    13.1. Responsibility
    LiftLink is not responsible for personal items left behind in Drivers’ vehicles.

    13.2. Procedure

    • If you have lost an item, contact the Driver via the Platform’s messaging system.
    • If you have found an item, you must make your best efforts to return it to its owner.
    • You may also contact LiftLink’s customer service for assistance.
    1. USER CONTENT

    14.1. Ownership
    You retain all your rights to the User Content you post. However, by posting content on the Platform, you grant LiftLink a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, distribute, and display this content in connection with the operation of the Service.

    14.2. Responsibility
    You are solely responsible for the User Content you post. You warrant that it does not infringe the rights of others and that it complies with these Terms.

    1. INTELLECTUAL PROPERTY

    15.1. LiftLink’s Rights
    The Platform, its software (including Warren AI), its design, its algorithms, its databases, its trademarks (including “LiftLink” and “My LiftLink”), its logos, and any other proprietary content are the exclusive property of LiftLink Ltd. They are protected by copyright, trademark, and other intellectual property laws.

    15.2. Restrictions
    You are not authorized to:

    • Modify, copy, reproduce, distribute, or create derivative works of the Service or any proprietary content of LiftLink.
    • Disassemble, decompile, or attempt to extract the source code of the Platform’s software.
    • Use LiftLink’s trademarks without our express written permission.
    1. LIFTLINK’S LIABILITY

    16.1. Disclaimer of Warranties
    The Service and the Platform are provided “as is” and “as available”. LiftLink makes no warranties, express or implied, regarding:

    • The suitability of the Service for your needs.
    • The accuracy, reliability, or completeness of the information provided (including by Warren AI).
    • The safety, quality, or punctuality of the Trips.

    16.2. Verification of Drivers
    LiftLink endeavors to verify the validity of driver’s licenses, but cannot guarantee the behavior, reliability, or absence of criminal records of Users. Each User is responsible for their own safety and must use their judgment when interacting.

    16.3. Limitation of Liability
    To the maximum extent permitted by law, LiftLink disclaims all liability for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Service, including but not limited to loss of profits, personal injury, or property damage.

    16.4. Interactions Between Users
    You are solely responsible for your interactions with other Users. LiftLink is not responsible for disputes or disagreements between Users.

    1. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless LiftLink Ltd, its officers, directors, employees, and agents from any claim, damage, loss, cost, or expense (including reasonable attorneys’ fees) arising from:

    • Your use of the Service.
    • Your violation of these Terms.
    • Your violation of any third-party rights.
    • Your User Content.
    1. SUSPENSION AND TERMINATION

    18.1. Termination by User
    You may terminate your account at any time by contacting us at contact@liftlink.ca.

    18.2. Termination by LiftLink
    LiftLink may suspend or terminate your account immediately, without notice, for any reason, including but not limited to:

    • Violation of these Terms.
    • Fraudulent or illegal conduct.
    • Endangering the safety of other Users.
    • Abusive or recurrent cancellations.
    • False ratings or abuse of the review system.
    • Extended account inactivity (more than 24 months).

    18.3. Consequences
    Upon termination, you lose the right to use the Service. The provisions of these Terms that by their nature should survive (including Sections 14, 15, 16, 17, 19, 20, and 21) will remain in effect.

    1. DATA PROTECTION AND PRIVACY

    19.1. Privacy Policy
    The collection, use, and protection of your personal data are governed by our Privacy Policy, available at liftlink.ca/privacy-policy. By using the Service, you consent to this policy.

    19.2. Retention and Deletion

    • LiftLink retains your data as long as necessary to provide the Service and comply with legal obligations.
    • You may request deletion of your data by contacting contact@liftlink.ca.
    • In accordance with Quebec Law 25 and the GDPR (if applicable), you have rights of access, rectification, and objection regarding your data.

    19.3. Confidentiality of Contact Information
    Contact information (phone number, email) of Users remains confidential and is not shared publicly on the Platform. It is communicated to parties involved in a Trip (Driver and Passengers) only to facilitate coordination.

    1. FORCE MAJEURE

    LiftLink will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to:

    • Natural disasters (earthquakes, floods, fires).
    • Extreme weather conditions (snowstorms, hurricanes).
    • Pandemics or epidemics.
    • Strikes, lockouts, or other labor disputes.
    • Network, power, or telecommunications outages.
    • Acts of war, terrorism, or riots.
    1. GOVERNING LAW AND JURISDICTION

    21.1. Governing Law
    These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

    21.2. Jurisdiction
    Any dispute arising out of these Terms shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Ottawa. You irrevocably accept this jurisdiction.

    21.3. Severability
    If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of these Terms will remain in full force and effect.
